How do you know it's in "good shape"? Is that what the dealer tells you or have you personally checked the car out--including having it up on a rack to inspect the chassis and suspension?
Also the one-year warranty...have you read the warranty? Often, used car warranties can be limited and restrictive.
I don't follow used car prices, but that asking price ought to be really low because of the risk you take in buying a three-year old car made by a brand which no longer exists.
You can bet that parts are going to be an issue. In fact, with some of the parts unique to a Saturn (ie: body parts, trim, etc) there may already be issues with discontinued pieces.
